Professional Wholesale Program: These terms apply to our B2B wholesale fragrance distribution services. All wholesale accounts require approval and appropriate business licensing.
1. Wholesale Account Eligibility
To qualify for a wholesale account with Flaneur Group LLC, you must:
- Hold a valid business license and reseller permit
- Operate a retail location, e-commerce platform, or qualified distribution business
- Provide tax ID/EIN and business registration documentation
- Meet minimum order requirements and credit approval standards
- Maintain appropriate insurance coverage for retail operations
- Agree to authorized retailer guidelines and brand standards
2. Minimum Order Requirements
Initial Order
$2,500 minimum
Required for new wholesale accounts
Reorder Minimum
$1,000 minimum
For established accounts in good standing
3. Pricing and Payment Terms
Pricing Structure:
- Wholesale pricing is typically 50-60% off MSRP depending on product line and volume
- Pricing is subject to change with 30 days written notice
- Volume discounts available for orders exceeding $5,000
- Special promotions and seasonal discounts offered periodically
Payment Terms:
- New Accounts: Payment due upon shipment (Net 0)
- Established Accounts: Net 30 days with approved credit application
- Accepted Methods: Wire transfer, ACH, business check, approved credit terms
- Late Fees: 1.5% per month on overdue balances
- Credit Limits: Assigned based on creditworthiness and payment history
4. Shipping and Delivery
Shipping Options:
- Standard ground shipping (5-7 business days)
- Expedited shipping available at additional cost
- White glove delivery for large orders (minimum $10,000)
- International shipping available to qualified international distributors
Shipping Costs:
- Calculated based on weight, dimensions, and destination
- Free shipping on orders over $3,000 (domestic US)
- Fragile item surcharges may apply for delicate packaging
5. Product Availability and Allocation
Product availability is subject to inventory levels and manufacturer allocation. We reserve the right to:
- Allocate limited edition or high-demand products fairly among retailers
- Substitute comparable products when original items are unavailable
- Cancel orders for discontinued or recalled products
- Prioritize allocation based on account standing and order history
6. Returns and Exchanges
Return Policy:
- Defective merchandise: Full credit within 30 days
- Non-defective returns: Store credit only, subject to 15% restocking fee
- Seasonal/promotional items: Final sale, no returns
- Custom or special orders: Final sale, no returns
Return Requirements:
- Returns must be pre-authorized with RMA number
- Products must be in original, sellable condition
- Return shipping costs are responsibility of retailer unless defective
- Damaged or used products will be refused or subject to additional fees
7. Brand Guidelines and Marketing
Authorized Retailer Requirements:
- Maintain brand standards and premium presentation
- Obtain approval for all marketing materials featuring our brands
- Prohibit unauthorized online marketplaces (Amazon, eBay, etc.)
- Maintain minimum inventory levels of core products
- Provide trained staff knowledgeable about fragrance products
8. Territory and Distribution Rights
Unless otherwise specified in writing:
- No exclusive territory rights are granted
- Online sales permitted within approved geographic regions
- International shipping restrictions may apply
- Resale to other wholesalers prohibited without written approval
9. Product Warranties and Liability
All products are backed by manufacturer warranties. Flaneur Group LLC:
- Facilitates warranty claims between retailers and manufacturers
- Does not assume responsibility for manufacturer defects
- Provides reasonable assistance with quality issues
- Maintains product liability insurance for distribution activities
10. Account Termination
We reserve the right to terminate wholesale accounts for:
- Non-payment or consistently late payments
- Violation of brand guidelines or unauthorized resale
- Misrepresentation of business credentials
- Failure to maintain minimum order requirements
- Any breach of these wholesale terms
11. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including natural disasters, government actions, labor disputes, or supply chain disruptions.
12. Governing Law
These wholesale terms are governed by Delaware state law. Any disputes shall be resolved through binding arbitration in Delaware or through Delaware state courts.
